By creating an account, signing in, paying for a package, downloading files, or otherwise using the Service, you (“you” or “user”) agree to these Terms and our Privacy Policy. If you do not agree to these Terms, do not use the Service.

4. Accounts and security
4.1 Registration
You agree to provide accurate account information and to update it when necessary.
4.2 Credentials
You are responsible for maintaining the confidentiality of your login credentials and for activities under your account. Notify us promptly at support@civlogic.app if you suspect unauthorized access.
4.3 Security controls
We use secured authentication routes, validation, rate limiting, and related controls described in our Security & Trust materials and Privacy Policy. You remain responsible for device security, account access within your organization, and password hygiene.
4.4 Suspension
We may suspend or terminate access if we reasonably believe your account is compromised, used for abuse, used to bypass payment or validation controls, or used in violation of these Terms.
5. Free usage and fees
5.1 Free usage
Subject to these Terms, CivLogic provides free account creation and day-to-day use of core in-app workflows, including Bill of Quantities import, PDM and Gantt Chart preparation, Contract Time, Variation Order workflow, Statement of Work Accomplished, accomplishment monitoring, Manpower Deployment and Equipment Utilization suggestions, Geotag, and Analytics, except where a specific paid package download applies.
5.2 Paid submission packages
Fees apply to designated submission package downloads. The exact file set, approval state, watermark state, readiness checks, and eligibility requirements are enforced in the application at download time. Marketing summaries, FAQ text, and pricing summaries do not override in-app gates.
| Package | Price | What the paid unlock relates to (summary) |
|---|
| Contract Preparation package | As listed on the Pricing page and confirmed at checkout | Package including Gantt Chart with S-curve and Cash Flow, Manpower and Equipment Schedule, PDM, and *PCMA Barchart, subject to in-app package rules |
| Variation Order package | As listed on the Pricing page and confirmed at checkout | Package including Gantt Chart with S-curve and Cash Flow, PDM, and *PCMA Barchart for the Variation Order path, subject to in-app package rules |
| Contract Time Extension package | As listed on the Pricing page and confirmed at checkout | Package including Gantt Chart with S-curve and Cash Flow, PDM, and *PCMA Barchart for the Contract Time Extension path, subject to in-app package rules |
*For DPWH Contracts only
5.3 Payment provider
Checkout is processed through HitPay in Philippine pesos. You may also be subject to HitPay terms and the terms of your bank, card issuer, wallet, or payment provider. Payment confirmation and package unlock status are verified server-side.
5.4 Taxes and charges
Prices are presented in Philippine pesos. Any applicable taxes, payment provider fees, or other charges will follow the checkout presentation and applicable law.
5.5 Price changes
We may change list prices prospectively. The Pricing page and checkout page control the amount charged for a new payment. Price changes do not retroactively change a completed payment already captured for a specific package unlock, except as required by law, payment provider rules, or a correction of error.
5.6 Refunds and payment disputes (submission packages)
This section applies to paid submission package unlocks, including the Contract Preparation package, the Contract Time Extension package, and the Variation Order package, paid through HitPay in Philippine pesos.
5.6.1 What you are buying
You pay to unlock a specific package target under in-app eligibility rules, such as a Contract Preparation package target or a specific Contract Time Extension package or Variation Order package target. Unlock status is verified server-side. Marketing page summaries do not override eligibility gates, including Notice to Proceed state, approval state, signatories, readiness checks, payment status, or other in-app requirements.
5.6.2 Change of mind
Because the paid item is a digital package unlock delivered electronically, change-of-mind refunds are not guaranteed after a successful unlock has been granted or the package files have been downloaded. This does not limit any non-waivable rights or remedies available under applicable Philippine law for defective, nonconforming, unauthorized, or failed transactions.
5.6.3 Refunds we will consider
Contact support@civlogic.app with subject Refund request – [Package type] – [Project/Contract ID] within fourteen (14) calendar days of payment, including the HitPay or transaction reference.
We will review refunds, re-delivery, or restoration of entitlement when:
- There was a duplicate charge for the same package target
- Payment was captured but the package unlock was not granted because of a verifiable CivLogic system error after you met all eligibility requirements
- The amount charged was different from the checkout price due to our error
- There is a proven unauthorized payment on your payment instrument, subject to coordination with HitPay, your bank, wallet, card issuer, or other payment provider
5.6.4 Refunds we generally will not grant
Subject to mandatory rights under Philippine law, we generally will not refund when:
- You completed payment, received a valid unlock, and then decided not to download or use the package
- Download was not available because eligibility requirements were not met, such as missing Notice to Proceed, unapproved request where required, incomplete signatories, readiness issues, or other non-payment gates
- You entered or imported incorrect Bill of Quantities, schedule, accomplishment, or Contract data and dislike the resulting output
- You already used the unlocked package files for submission, review, or project processing
- You filed a bad-faith chargeback or payment dispute, in which case we may suspend accounts involved in abusive chargebacks
5.6.5 How refund review works
- You email the request with proof of payment and Project or Contract identifiers
- We acknowledge the request within seven (7) calendar days where practicable
- We review payment provider records, CivLogic unlock records, and eligibility logs
- We decide whether to refund, re-attempt the unlock, restore entitlement, request more information, or decline with reasons
- Approved refunds are processed through HitPay or the original payment method when possible; timing depends on HitPay and your bank, wallet, card issuer, or payment provider
5.6.6 Chargebacks
If you open a chargeback or payment dispute with your bank, wallet, card issuer, or payment provider, please also notify support@civlogic.app so we can review the transaction and provide relevant records. Unresolved or abusive chargebacks may result in suspension of package download privileges or account access, subject to applicable law.
5.6.7 Package price changes and partial services
List prices may change prospectively. A completed payment for one package target is not automatically converted, topped up, or partially refunded because another package type exists at a different price, unless required by law or agreed by CivLogic in writing.
6. Your content and license to CivLogic
6.1 Your content
“Your Content” means data, files, and materials you upload or enter, including Bill of Quantities files, schedules, accomplishment records, Contract Time records, Variation Order imports, signatory fields, and related Project records.
6.2 Ownership
As between you and CivLogic, you retain rights in Your Content.
6.3 License
You grant CivLogic a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, display, reproduce technical copies, and generate outputs from Your Content solely to operate, secure, maintain, improve, and support the Service, and to provide the features you request.
6.4 Responsibility
You represent that you have the right and authority to submit Your Content and that Your Content does not violate law, confidentiality duties, contractual restrictions, government rules, or third-party rights. You are responsible for the accuracy of engineering, quantity, schedule, Contract, and submission data you enter or approve.
6.5 Pay Item Reference List contributions
During Pay Item Validation, if your imported Bill of Quantities contains new Pay Item No. and Part No. pairs, you may be asked to approve those pairs. By approving them and saving the Contract record, you instruct CivLogic to add those mappings to the shared Pay Item Reference List for use in validation for later Project records and users.
You represent that you have the right to contribute those mappings and that they do not include confidential, restricted, or proprietary information you are not allowed to share. The Pay Item Reference List is a user-contributed validation aid. It is not an official government issuance or government-endorsed dataset, and CivLogic does not warrant that it is complete, current, or accepted by any government office.
6.6 Manpower Deployment and Equipment Utilization suggestions by Pay Item
When you save Manpower Deployment or Equipment Utilization assignments for a Pay Item in a Project record, you instruct CivLogic to use those assignments, together with user-contributed Pay Item Reference List context where relevant, to provide Manpower Deployment and Equipment Utilization suggestions by Pay Item for you and for other users of the Service, including suggestions informed by similar assignments across Project records.
You represent that you have the right to contribute those assignment details and that they do not include confidential, restricted, or proprietary information you are not allowed to share. Those suggestions are a user-informed planning aid. They are not an official government issuance or government-endorsed standard for manpower or equipment, and CivLogic does not warrant that they are complete, current, or accepted by any government office.
7. Acceptable use
You agree not to engage in the conduct listed below. We may investigate suspected violations, restrict access, preserve relevant records, and cooperate with lawful requests from authorities when appropriate.
- Use the Service for unlawful, fraudulent, misleading, or unauthorized purposes
- Attempt to bypass authentication, rate limits, payment verification, readiness checks, or validation gates
- Probe, scan, attack, overload, or interfere with the Service or other users
- Upload malware, harmful code, corrupted files, or content intended to disrupt the Service
- Misrepresent your identity, authority, affiliation, role, professional status, or right to use Project or Contract data
- Scrape, copy, or extract Service data in a way that impairs operations, violates law, or violates these Terms
- Resell, sublicense, or commercially provide access to the Service except as we expressly allow in writing
- Use the Service to generate, submit, or distribute unlawful, infringing, falsified, or misleading content
8. Variation Order and related workflows (product rules)
Without limiting other Terms, the following product integrity controls apply. These controls assist internal checking only and are not a substitute for your Contract obligations, Contractor responsibility, Implementing Office review, or project owner approval.
- Variation Order creation and revised Bill of Quantities import occur within Contract Time workflows
- Imports may require Pay Item validation and revised quantity verification, including checks against reported accomplishment
- Staged imports apply when you save the Variation Order according to in-app rules, including On Process application where applicable
- Statement of Work Accomplished and accomplishment reporting may continue against Latest Approved quantities while a Variation Order is On Process, with warnings where pending Variation Order quantities are exceeded
8A. Variation Order documentation workflow vs paid packages
The in-app Variation Order workflow, including adding the Variation Order in Contract Time, importing the revised Bill of Quantities, validating Pay Items, verifying revised quantities, comparing reported accomplishment, and applying the On Process record, is part of free day-to-day use. The paid Variation Order package covers the downloadable submission package for a Variation Order target after additional revision checks and in-app eligibility requirements are satisfied. The package fee is for the export/download entitlement, not a guarantee of Implementing Office approval.
9. Intellectual property
The Service, including software, user interface, workflows, branding, documentation, templates, product copy, and marketing content, is owned by CivLogic or its licensors. Except for the limited right to use the Service under these Terms, no rights are granted. You may not copy, modify, reverse engineer, decompile, exploit, or create derivative works of the Service except where mandatory law allows.
10. Third-party services
The Service may depend on third parties, including hosting, authentication, database, email, monitoring, analytics, and payment providers such as HitPay. We are not responsible for third-party outages, processing delays, fees, terms, policies, or failures beyond our reasonable control and contractual arrangements. Your use of third-party checkout or connected services may also be subject to that third party’s terms.
11. Disclaimers
THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS TO THE MAXIMUM EXTENT PERMITTED BY PHILIPPINE LAW. CIVLOGIC DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION, EXCEPT TO THE EXTENT SUCH WARRANTIES CANNOT BE DISCLAIMED UNDER APPLICABLE LAW.
CivLogic does not warrant that schedules, quantities, outputs, exports, package files, or *PCMA Barchart files will be accepted, approved, or relied upon by any Implementing Office, agency, project owner, consultant, auditor, or counterparty.
*For DPWH Contracts only
Nothing in these Terms limits rights, warranties, remedies, or liabilities that cannot be waived under applicable Philippine law.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY PHILIPPINE LAW, CIVLOGIC AND ITS OFFICERS, EMPLOYEES, CONTRACTORS, SUPPLIERS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR EXPECTED SAVINGS, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CIVLOGIC’S TOTAL LIABILITY FOR CLAIMS RELATING TO A PAID PACKAGE TRANSACTION WILL NOT EXCEED THE AMOUNT YOU PAID TO CIVLOGIC FOR THE SPECIFIC PACKAGE UNLOCK GIVING RISE TO THE CLAIM. FOR CLAIMS NOT RELATING TO A PAID PACKAGE, CIVLOGIC’S TOTAL LIABILITY WILL NOT EXCEED PHP 5,000.00, OR THE MINIMUM AMOUNT THAT CANNOT BE EXCLUDED UNDER MANDATORY LAW, WHICHEVER IS HIGHER.
Nothing in these Terms excludes liability that cannot be excluded under Philippine law, including liability arising from fraud, willful misconduct, gross negligence where not waivable, or statutory consumer rights where applicable.
13. Indemnification
You agree to defend, indemnify, and hold harmless CivLogic from and against claims, damages, losses, liabilities, penalties, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to: (a) Your Content; (b) your use or misuse of the Service; (c) your violation of these Terms; (d) your violation of law, contract, confidentiality obligations, government rules, or third-party rights; or (e) your submission, use, or approval of Project, Contract, schedule, quantity, or payment data, to the extent permitted by law.
14. Termination
You may stop using the Service at any time. We may suspend or terminate access immediately for material breach, legal risk, suspected fraud, abusive payment disputes, security risk, non-payment where applicable, or harm to the Service or other users.
On termination, your right to access the Service ends. Sections that by nature should survive, including ownership, Your Content responsibility, payment records, disclaimers, limitation of liability, indemnity, governing law, and dispute provisions, survive termination.
Data handling after termination follows the Privacy Policy and any retention required or allowed by law, accounting rules, payment dispute procedures, security needs, or legitimate business purposes.
15. Changes to the Service or Terms
We may modify the Service and these Terms. When we update these Terms, we will revise the Effective date or Last updated date. Material changes may be communicated in-app, by email, or through the website when appropriate. Continued use after the effective date constitutes acceptance where permitted by law. If you do not agree, stop using the Service.
16. Governing law and disputes
These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict-of-law rules that would require the application of another jurisdiction’s law.
Subject to mandatory law, consumer protection rules, small claims rules, and any venue rule that cannot be waived, the exclusive venue for disputes arising from or relating to these Terms or the Service shall be the proper courts of Baguio City, Philippines.
17. Miscellaneous
17.1 Entire agreement
These Terms and the Privacy Policy are the entire agreement between you and CivLogic regarding the Service and supersede prior conflicting understandings on the same subject.
17.2 Severability
If a provision is found invalid or unenforceable, the remaining provisions remain in effect to the fullest extent permitted by law.
17.3 No waiver
Failure to enforce a provision is not a waiver of the right to enforce it later.
17.4 Assignment
You may not assign these Terms or your account without our consent. We may assign these Terms in connection with a reorganization, merger, acquisition, sale of assets, change in control, or transfer of the Service.
17.5 Force majeure
We are not liable for delays or failures caused by events beyond reasonable control, including acts of God, disasters, war, terrorism, labor disputes, government action, internet outages, payment provider outages, hosting or cloud provider outages, power failures, or other upstream service disruptions.
17.6 Language
These Terms are written in English. If a translation is provided, the English version controls unless applicable law requires otherwise.
